1. Acceptance of These Terms
These Terms of Use ("Terms") govern access to and use of the Vodeon.ai mobile application, television application, website, distributor portal, device-management system, software, features and related services (collectively, the "Platform").
The Platform is developed, owned and operated by Rhysley Private Limited ("Rhysley", "Vodeon.ai", "we", "us" or "our").
By downloading, installing, accessing, registering – for activating or using the Platform, you confirm that you have read, understood and agreed to these Terms and the Vodeon.ai Privacy Policy. If you do not agree, you must not access or use the Platform.
2. Definitions
"End User" means an individual who uses the Platform to access services or content made available by an independent Service Provider.
"Service Provider" means an independent channel provider, content provider, OTT operator, broadcaster, distributor, reseller, subscription provider or other authorized business that connects and manages its services through the Platform.
"Content" means television channels, live programmes, movies, series, videos, audio, programme information, artwork, metadata and other media made available by a Service Provider.
"Account" means an End User, Service Provider, administrator, distributor or other authorized account created or activated for use of the Platform.
"Device" means a supported mobile phone Android TV, television device, streaming device, tablet, computer or other compatible equipment used to access the Platform.
3. Nature of the Vodeon.ai Platform
Vodeon.ai is an AI-enabled OTT technology platform and media application. It enables independent Service Providers to connect and manage their services, administer authorized customer accounts, activate approved Devices and make authorized Content available to their customers through supported Devices.
Vodeon.ai provides software, account management, device management, content navigation, recommendation, analytics, diagnostic and related technical infrastructure only.
Unless expressly agreed otherwise in writing, Rhysley does not:
create, produce, select, upload, publish, supply, broadcast, transmit, retransmit, distribute, sell or license Content;
own or control television channels, movies, programmes, live streams or video on demand libraries made available by a Service Provider;
sell Content subscriptions directly to End Users;
provide End Users with Content sources, channel packages, access credentials or unauthorized access codes;
guarantee the ownership, licensing, legality, availability, accuracy, quality or suitability of Content made available by a Service Provider; or
authorize any person to access copyrighted, restricted or regulated Content without permission from the applicable rights holder.
Vodeon.ai is not a broadcaster, television channel provider, content producer, content owner or content licensing company — The presence or availability of Content through the Platform does not mean that Rhysley owns, licenses, endorses, verifies or controls that Content.
4. Independent Service Providers
Each Service Provider operates independently from Rhysley and is solely responsible for its business, services, customers, subscriptions, representations and Content.
Each Service Provider is solely responsible for:
obtaining and maintaining all licences, permissions, broadcasting rights, distribution rights, copyright permissions, trademark permissions, consents and regulatory approvals required for its Content and services;
ensuring that its Content, advertising, subscriptions, customer onboarding and business practices comply with applicable law and third—party rights.
determining and communicating its prices, taxes, service periods, renewals, cancellation conditions and refund policy;
issuing valid access credentials and activation details to authorized customers;
providing customer support for Content availability, service quality, subscriptions and billing matters;
protecting customer and administrator information under applicable privacy and data-protection laws; and
ensuring that its employees, agents, resellers and customers use the Platform lawfully.
A Service Provider’s use of the Platform does not create any partnership, employment relationship, agency, franchise, joint venture or legal representation between the Service Provider and Rhysley.
5. Content Ownership, Authorization and Copyright
Vodeon.ai does not supply Content to End Users. Every Service Provider represents and warrants that it owns or has obtained all necessary legal rights, licences, permissions, consents, broadcasting rights, distribution rights and regulatory approvals for every item of Content made available through its Account.
A Service Provider must not use the Platform to make available:
copyrighted Content without proper authorization;
channels, programmes, events or recordings for which it does not hold valid rights;
unlawfully copied, redistributed, transmitted or otherwise unauthorized Content;
Content that violates intellectual property, privacy, publicity, contractual or other third-party rights; or
Content prohibited by applicable law, court order, regulatory direction or lawful rights holder notice.
Rhysley may request documentary proof of ownership, licensing, authorization or distribution rights at any time. Failure to provide satisfactory evidence may result in restriction, suspension or termination of the applicable Account or service.
Service Providers remain solely responsible for all Content supplied through their Accounts and for claims, complaints, penalties, losses, costs and legal proceedings arising from that Content.
6. Service Provider Registration and Verification
A Service Provider must provide complete, accurate, truthful and current information during registration and throughout its use of the Platform.
Rhysley may request business-registration details, authorized representative information, contact details, tax or billing information, service descriptions, territorial rights, Content source information, licensing documentation or other evidence reasonably required for verification, security, support or legal compliance.
Rhysley may approve, reject, suspend or require additional verification of a Service Provider, subject to applicable law. Approval does not constitute confirmation that the Service Provider owns all required Content rights.
7. End User Access and Responsibilities
End Users may access the Platform only through an authorized Account and, where applicable, valid activation details issued or managed by a Service Provider.
End Users are responsible for:
keeping login, activation and Account details confidential;
using only Devices permitted under their Account;
not sharing, transferring, selling or reselling credentials without authorization;
using the Platform and Content only for lawful, personal and authorized purposes;
complying with the applicable Service Provider’s separate subscription conditions; and
reporting suspected unauthorized access or misuse promptly.
8. Account and Device Management
An Account may be linked to an email address, customer identifier, Device identifier, application installation identifier — MAC address where technically available and legally permitted or another supported identifier.
The Platform may process Device and Account information to activate Devices, enforce Device limits, prevent unauthorized Account sharing, provide customer support, troubleshoot technical issues, detect misuse and protect the Platform.
A Service Provider may define the number and type of Devices that may be activated under an End User Account. Replacing, resetting or reinstalling a Device may require reactivation. Rhysley is not responsible where access is limited because a Service Provider’s activation limit has been reached.
9. Platform Features
Depending on the Platform version, Device, territory and Service Provider configuration, features may include:
live channel navigation and access;
video on demand navigation;
AI assisted search and recommendations;
trending and recently added Content flows;
favourites or “My List”;
ratings and reactions;
viewing history and continue watching functionality;
subscription status display and management;
Account and Device management;
Device activation limits;
notifications;
analytics, crash monitoring and diagnostic tools; and
technical support functions.
Features may be added, changed, restricted, suspended or removed at any time. Not every feature is available to every user, service provider, device, or territory.
10. AI Powered Features
Vodeon.ai may use automated or AI powered functionality to improve search, navigation, Content discovery, recommendations, categorization and notifications.
Recommendations may be based on viewing activity, searches, ratings, favourites, selected genres, Content interactions, available metadata and general usage patterns.
AI-generated results are automated suggestions only. Rhysley does not guarantee that any recommendation, search result, description, category or suggestion will be accurate, complete, suitable or relevant – AI features do not determine whether Content is legally licensed; that responsibility remains with the applicable Service Provider.
11. Subscriptions, Charges and Refunds
A Service Provider may purchase Platform licences, plans, Device allocations or related services directly from Rhysley under separate commercial terms.
Unless Rhysley directly processes a transaction and expressly identifies itself as the seller, any amount paid by an End User to a Service Provider is a separate transaction between the End User and that Service Provider.
Rhysley is not responsible for Service Provider pricing, taxes, renewals, cancellations, refunds, subscription disputes, unavailable Content or promises made by a Service Provider.
12. Acceptable Use
Users and Service Providers must use the Platform only for lawful and authorized purposes. You must not:
use the Platform to infringe intellectual property or other third party rights;
provide, facilitate, advertise or distribute unauthorized Content;
bypass digital rights management, security, Account, regional, subscription or Device controls;
modify, reverse engineer, decompile, disassemble or attempt to extract source code, except where permitted by law;
copy, sell, sublicense, lease or commercially exploit the Platform without written permission;
introduce malware, malicious code, harmful scripts or unauthorized monitoring tools;
interfere with servers, APIs, databases, networks or Platform functionality;
conduct security testing without prior written authorization;
use automated tools to scrape data, create Accounts or misuse the Platform;
gain unauthorized access to another Account or falsify identifiers;
use the Platform for fraud, impersonation, harassment, exploitation or other unlawful conduct; or
assist another person in carrying out any prohibited activity.
13. Intellectual Property in the Platform
The Vodeon.ai name, software, interface, source code, object code, designs, functionality, databases, documentation, logos, trademarks, graphics and other Platform materials — owned or licensed by Rhysley are protected by applicable intellectual property laws.
Subject to these Terms — Rhysley grants authorized users a limited, revocable, non-exclusive, non-transferable and non sublicensable right to use the Platform for its intended purpose.
A Service Provider retains responsibility for the Content, trademarks, logos, metadata and other materials it supplies — by supplying them the Service Provider grants Rhysley a limited licence to host, process, format, display and transmit those materials only as reasonably necessary to operate and support the Platform.
14. Copyright and Intellectual Property Complaints
Rhysley respects intellectual property rights. A rights holder or authorized representative who believes that Content accessible through the Platform infringes their rights may submit a written complaint containing:
identification of the protected work or right;
identification of the allegedly infringing Content and sufficient information to locate it;
information identifying the relevant Service Provider, where available;
contact information for the complainant;
evidence of ownership or authorization to act for the rights holder;
a good faith statement that the disputed use is not authorized;
a statement that the information supplied is accurate; and
a physical or electronic signature.

15. Investigation, Restriction and Takedown
Rhysley may investigate and take proportionate action — where it receives a credible complaint, lawful request, court order, regulatory direction or reasonably suspects infringement, fraud, unlawful activity or misuse.
Actions may include requesting proof of right —, restricting access, disabling affected services, suspending an Account, blocking a Device, terminating a Service Provider, preserving relevant records or cooperating with lawful authorities.
Rhysley is not required to continue providing access — while a complaint, verification request or investigation remains unresolved.
16. Repeat Infringement
Rhysley may suspend or terminate a user or Service Provider that repeatedly infringes rights, facilitates infringement, — fails to respond to legitimate complaints or repeatedly fails to provide satisfactory proof of authorization.
17. Privacy and Data Protection
Personal information collected through the Platform is handled according to the Vodeon.ai Privacy Policy, available at [Insert Privacy Policy URL]. The Privacy Policy forms part of these Terms.
Where a Service Provider manages End User information through the Platform that Service Provider is responsible for providing required privacy notices — establishing a lawful basis for processing, obtaining required consents, protecting credentials and responding to applicable customer rights requests.
Service Providers must not upload or process personal information through the Platform unless they are legally authorized to do so.
18. Account Deletion
Users may request Account deletion through available Account settings or through [Insert Account Deletion URL]. Where an End User Account is controlled by a Service Provider — the End User may also need to contact that Service Provider to cancel the related subscription or service.
Certain information may be retained where required for legal compliance, accounting, security, fraud prevention, dispute resolution, enforcement or backup management, as explained in the Privacy Policy.
19. Third Party Services
The Platform may use or interact with third party hosting, analytics, crash reporting, notification, payment, content delivery, authentication, API and other technology services. These services are controlled by their respective providers and may be subject to separate terms and privacy policies.
Rhysley does not control and is not responsible for the availability, security, policies, content or actions of independent third party services. Integration or linking does not constitute endorsement.
20. Service Availability and Updates
The Platform is provided subject to availability. Rhysley does not guarantee uninterrupted, continuous or error free access.
Availability may be affected by network conditions, Device compatibility, Service Provider systems, Content sources, maintenance, software updates, third party services, geographic restrictions, legal requirements, security incidents or circumstances outside Rhysley’s reasonable control.
Rhysley may update, repair, modify, suspend, discontinue or require updates to any part of the Platform. Failure to install required updates may result in reduced functionality or loss of access.
21. Crash Monitoring and Diagnostics
The Platform may process crash reports, performance data, Device information, application version details and technical logs to identify errors, improve stability, provide support, prevent misuse and maintain security — Crash monitoring does not guarantee that every technical issue will be detected or resolved.
22. Disclaimers
To the maximum extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis.
Rhysley disclaims warranties, whether express, implied, statutory or otherwise — including warranties of merchantability, fitness for a particular purpose, non infringement, uninterrupted availability, accuracy, security, compatibility and error free operation.
Rhysley does not warrant that a Service Provider is legally authorized to distribute particular Content — that all Content will remain available, that streams will be uninterrupted, that AI recommendations will be accurate, that the Platform will operate on every Device or that every defect will be corrected.
Nothing in these Terms excludes rights or warranties that cannot legally be excluded.
23. Limitation of Liability
To the maximum extent permitted by law, Rhysley and its affiliates, directors, officers, employees, contractors, licensors and agents will not be liable for unauthorized, infringing, unlawful, inaccurate or unavailable Content; actions or omissions of a Service Provider; disputes between End Users and Service Providers — lost profits, revenue, data, business or opportunities; indirect or consequential damages; interruption, delay, buffering, service failure or Device incompatibility; or payment and refund disputes handled by a Service Provider.
Where liability cannot be completely excluded, Rhysley’s total aggregate liability will not exceed the amount paid directly to Rhysley by the affected party for the relevant Platform service during the [three/six/twelve] months immediately preceding the event giving rise to the claim, except where a different limitation is required by law.
24. Service Provider Indemnity
To the fullest extent permitted by law, each Service Provider agrees to defend, indemnify and hold harmless Rhysley — its affiliates, directors, officers, employees, contractors, licensors and agents from claims, losses, liabilities, penalties, damages, costs and reasonable legal expenses arising from or relating to:
Content supplied or made available by the Service Provider;
failure to possess required licences, permissions or rights;
intellectual property, broadcasting right, privacy or publicity claims;
customer subscriptions, payments, refunds, advertisements or representations;
breach of these Terms or applicable law;
data protection failures attributable to the Service Provider; or
acts or omissions of the Service Provider’s employees, agents, resellers or customers.
25. Suspension and Termination
Rhysley may suspend, restrict or terminate access where these Terms are violated; information is false or misleading; payment owed directly to Rhysley remains unpaid — a security, fraud, infringement or legal risk is identified; required licences cannot be demonstrated; a lawful authority requires action; or continued access creates material legal, operational or reputational risk.
Where reasonably practicable, Rhysley may provide notice and an opportunity to respond. Immediate action may be taken where necessary to protect users, rights holders, the public or the Platform.
Upon termination, the right to use the Platform ends immediately. Provisions concerning intellectual property, indemnity, liability, disputes and enforcement survive termination.
26. Children and Age Requirements
The Platform is not specifically directed to children below the minimum age required by applicable law. Children may use the Platform only with the involvement, supervision and consent of a parent or legal guardian — subject to the applicable Service Providers requirements.
Service Providers are responsible for ensuring that their Content, age ratings, parental controls and customer onboarding comply with applicable child safety and media classification requirements.
27. Communications
Rhysley may send operational communications concerning Account activation, security, Device management, service availability, support, policy changes, legal notices and required Platform updates. Marketing communications will be handled subject to applicable law and user preferences.
28. Changes to These Terms
Rhysley may revise these Terms to reflect changes in the Platform, business operations, law, security requirements or regulatory obligations. Updated Terms will be published with a revised “Last Updated” date. Where required by law, additional notice or consent will be obtained.
29. General Provisions
If any provision is held invalid or unenforceable — it will be limited or it will be removed to the minimum extent necessary and the remaining provisions will remain continue in effect.
Failure by Rhysley to enforce a provision does not waive the right to enforce it later — Any waiver must be in writing and authorized by Rhysley.
Users and Service Providers may not assign their rights or obligations without Rhysley’s prior written approval. Rhysley may assign its rights and obligations as part of a merger, restructuring, acquisition, business transfer or transfer to an affiliate, subject to applicable law.
These Terms, the Privacy Policy, applicable subscription terms and any signed Service Provider Agreement — constitute the complete agreement concerning use of the Platform. Where a signed Service Provider Agreement conflicts with these Terms, the signed agreement controls to the extent of that conflict.
30. Contact Information
If any provision is held invalid or unenforceable — it will be limited or it will be removed to the minimum extent necessary and the remaining provisions will remain continue in effect.
